Mother Nourish Nurture offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.

“Mother Nourish Nurture” refers to the owner and operator of this website. “Services” includes all offerings, courses, digital products, consultations, and training programs delivered by either entity. “You” refers to the user of the website and purchaser of any Service.

We reserve the right to limit the quantities of any products or services that we offer. We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

This may include publishing your words, photos, videos, and your first name (or anonymised details, where appropriate) on our website, social media, advertising, or other marketing materials.

We may publish a curated selection of reviews, testimonials, and feedback at our discretion. Not all reviews submitted will be displayed publicly. We reserve the right to exclude or edit reviews at our discretion, including where they are irrelevant, incomplete, offensive, misleading, contain personal or sensitive information, include questions or support requests, or are otherwise unhelpful. We may also make minor edits to reviews before publishing, such as correcting spelling or grammar, shortening for length, or removing personal or sensitive details, provided such edits do not alter the overall meaning or sentiment of the review. In no case shall Mother Nourish Nurture, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 22 - PRODUCT POLICIES 
Virtual Consults: Please note that the cancellation policy for a virtual consult is 24 hours in advance of the booked consult time.
Email Support: On-demand email support is offered on the basis of responses being provided within 48 hours.

SECTION 23 - CURRENCIES 
Where product prices are displayed in Dollars ($), the price quoted is shown in USD.

SECTION 24 - TERMS AND CONDITIONS FOR PAYMENT PLANS
These terms and conditions outline the rules and regulations for the use of the Mother Nourish Nurture payment plan services.

24.1. Payment Plan Eligibility

To be eligible for our payment plan:
- You must be 18 years or older.
- You must provide valid and accurate payment information.
- You must agree to these terms and conditions.

24.2. Payment Terms

Initial Deposit: A non-refundable initial deposit is required at the time of purchase.
Payment Schedule: The remaining balance will be divided into 3 equal instalments, paid either:
a. every 2 weeks from the initial purchase date.
or
b. every month from the initial purchase date.

Due Dates: Payments are due on the frequency outlined above, totalling 4 payments altogether.

Certification will only be issued once all payments have been made.

24.3. Late Payments

Late Fee: A late fee of $49 USD will be applied to any payment not received within 5 days of the due date.
Default: If a payment is not received within 7 days of the due date, the payment plan will be considered in default, and the full remaining balance will become due immediately.
Suspension of Services: We reserve the right to suspend any services or access to products until the account is brought current.  Certification for the Pediatric Sleep and Development program will only be issued once the balance is paid in full and the payment plan is complete.

24.4. Cancellation and Refunds

Refunds: All payments made under the payment plan are non-refundable.
Cancellation by Company: We reserve the right to cancel your payment plan if payments are not made on time or if there is a breach of these terms and conditions.

24.5. Ownership and Access

Ownership: Ownership of the product remains with Mother Nourish Nurture until the full payment is received.
Access: Access to digital products or services may be restricted until the payment plan is fully paid.

24.6. Changes to Terms

Modification of Terms: We reserve the right to modify these terms and conditions at any time. Changes will be effective immediately upon posting to our website.

Section 25 - CONFIDENTIALITY AND INTELLECTUAL PROPERTY

25.1 - Confidentiality

We at Mother Nourish Nurture respect the privacy and confidentiality of our clients and are committed to protecting your personal information. As a user of our website and services, you agree to keep confidential any proprietary information, methodologies, processes, or materials that are shared with you as part of our services and products. This includes, but is not limited to, digital products, consultations, courses, guides, videos, audios, written materials, handouts, and other resources provided through our website or business.

25.2 - Confidential Information

Confidential information includes any data or information, oral or written, disclosed by Mother Nourish Nurture that is not generally known to the public. This includes but is not limited to:

• Personal information shared by other program participants
• Proprietary business information, methodologies, processes, and techniques
• Course content, materials, and resources
• Consultations and personalized advice

25.3 - Non-Disclosure Agreement

You agree not to disclose, reproduce, distribute, or otherwise make available to any third party any confidential information that you obtain through our website or services without our prior written consent. This obligation remains in effect even after your participation in our services has ended.

25.4 - Intellectual Property

All content and materials provided by Mother Nourish Nurture, including but not limited to text, graphics, logos, images, videos, audios, digital downloads, data compilations, and software, are the property of Mother Nourish Nurture or our licensors and are protected by international copyright laws, trademark laws, and other intellectual property rights.

25.5 - Usage License

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the content and materials for your personal and professional development. You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, or in any way exploit any of the content or materials, in whole or in part.  This license does not permit redistribution, clinical training use, team presentations, or commercial use or resale of any materials, in whole or in part.

25.6 - Restrictions

Without limiting the generality of the foregoing, you agree not to:

• Share, distribute, or resell the content or materials
• Use the content or materials for any commercial purpose
• Copy or reproduce the content or materials except as expressly permitted
• Reverse engineer, decompile, or disassemble any of the content or materials
• Remove any copyright, trademark, or other proprietary notices from the content or materials

25.7 - Termination of License

If you violate any terms of this agreement regarding confidentiality and intellectual property, your license to access and use our content and materials will be terminated immediately. In such a case, you must cease using the content and materials and destroy any copies you have made.

25.8 - Legal Action

We reserve the right to take legal action against any individual or entity that violates our intellectual property rights or breaches our confidentiality agreement. This includes seeking damages and injunctive relief.

 

Section 26 - FORCE MAJEURE AND INDEMNIFICATION

26.1 - Force Majeure

Mother Nourish Nurture shall not be liable or responsible to you, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of Mother Nourish Nurture, including but not limited to:

• Acts of God
• Flood, fire, earthquake, explosion
• Governmental actions
• War, invasion, or hostilities (whether war is declared or not)
• Terrorist threats or acts, riot, or other civil unrest
• National emergency, revolution, insurrection, epidemic, pandemic
• Lock-outs, strikes, or other labor disputes (whether or not relating to either party’s workforce)
• Restraints or delays affecting carriers
• Inability or delay in obtaining supplies of adequate or suitable materials
• Telecommunication breakdown or power outage

In the event of any such force majeure event, Mother Nourish Nurture shall be excused from any further performance of its obligations that are affected by the event for as long as the event continues and for any further period that is reasonable in the circumstances.

26.2 - Indemnification

You agree to indemnify, defend, and hold harmless Mother Nourish Nurture and our subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from and against any and all claims, demands, losses, liabilities, damages, costs, or expenses, including reasonable attorneys’ fees, arising out of or related to:

1. Your Use of the Website and Services: Any use of the website or services, including but not limited to any content, data, or materials you submit, post, or transmit through the website.
2. Breach of Agreement: Your breach of any term of this Agreement or the documents they incorporate by reference.
3. Violation of Rights: Your violation of any law or the rights of a third party, including but not limited to intellectual property rights, privacy rights, or other proprietary rights.
4. Misconduct: Any negligent or wrongful conduct by you or any other person accessing the website or services using your internet account, whether such access is obtained via fraudulent or illegal means.
5. Third-Party Claims: Any claims brought against Mother Nourish Nurture by any third party arising out of your use of the website or services, or the use by any other person accessing the website or services using your internet account.

Mother Nourish Nurture reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Mother Nourish Nurture in asserting any available defenses.

26.3 - Notice of Claims

If you are required to indemnify Mother Nourish Nurture, we will have the right to control any legal or administrative proceedings and to determine whether we wish to settle the matter, and if so, on what terms. You agree to notify us immediately of any claim or legal proceeding that involves you and Mother Nourish Nurture, or if you become aware of any circumstances that are likely to result in a claim or legal proceeding.

26.4 - Limitations of Liability

To the maximum extent permitted by applicable law, in no event shall Mother Nourish Nurture be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:

• The use or the inability to use our services or products
• Unauthorized access to or alteration of your transmissions or data
• Statements or conduct of any third party on our website or in connection with our services
• Any other matter relating to our services or products

In no event shall Mother Nourish Nurture’s aggregate liability for all claims relating to the services exceed the amount paid by you to Mother Nourish Nurture for the specific service in question.

The Pediatric Sleep and Development Practitioner Certification program provided by Mother Nourish Nurture is designed for educational purposes only. The content, materials, methodologies, and information provided in this program are intended to offer general guidance and knowledge about pediatric sleep and development. They are not a substitute for professional medical advice, diagnosis, or treatment.

27.1 - Medical Disclaimer

• The information provided in this program is not intended to replace, substitute, or supplement the advice, diagnosis, or treatment by a licensed healthcare provider, including but not limited to a physician, pediatrician, or other qualified health care provider.
• Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition or the health and welfare of an infant or child.

• You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the program content and materials for your personal, non-commercial use only.  Access to program content and materials is time-limited and provided for the duration of enrolment only.
• You may not modify, reproduce, distribute, create derivative works from, or in any way exploit any of the content or materials, in whole or in part, without the express written consent of Mother Nourish Nurture.
• Any unauthorized use or distribution of the program content, materials, or methodologies is strictly prohibited and may result in legal action.

27.3 - Liability Disclaimer

• Mother Nourish Nurture, its officers, directors, employees, agents, licensors, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of the program.
• To the maximum extent permitted by applicable law, Mother Nourish Nurture’s total liability for any claim arising out of or relating to the program shall not exceed the amount you paid to Mother Nourish Nurture for the program.
• Results may vary based on individual circumstances and the application of the program content. Mother Nourish Nurture does not guarantee specific results from participating in this program.

By enrolling in and participating in the Pediatric Sleep and Development Practitioner Certification program, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions outlined in this disclaimer.

 

SECTION 28 - SALES PERIODS AND EXCLUSIONS

28.1 - General Terms of Sales

From time to time, Mother Nourish Nurture may offer sales, discounts, or promotional offers ("Sales") on various products and services available through our website. These Sales are subject to the specific terms and conditions outlined in the promotional materials or as stated on our website at the time of the Sale.

28.2 - Exclusions

Please note that unless explicitly stated otherwise, the Pediatric Sleep and Development Practitioner Certification Program is excluded from all Sales, discounts, or promotional offers. This exclusion applies regardless of any wording such as "site-wide sale," "all courses," "all guides," or similar language.

28.3 - Limited Time Offers

All Sales are available for a limited time only, as indicated in the promotional materials. Mother Nourish Nurture reserves the right to modify or discontinue Sales at any time without prior notice.

28.4 - Pricing and Availability

All Sale prices are final and are subject to availability.

28.5 - Sale Bundles and Rest Assured Book Promotion

From time to time, Mother Nourish Nurture may promote Sale Bundles that include both a percentage discount and a complimentary copy of the book Rest Assured (the “Book”).

a) Qualifying Countries
The complimentary Book is only available for orders where we are reasonably able to purchase and arrange delivery of the Book in the customer’s country (“Qualifying Countries”). Qualifying Countries are determined by us at our sole discretion, based on publisher and retailer availability, shipping feasibility, and cost. We may update or change the Qualifying Countries at any time without notice.

b) Use of Billing Address for Delivery
For any promotion that includes the Book, your billing address entered at checkout will be used as the delivery address for the Book. By placing an order, you confirm that your billing address is accurate and suitable for receiving physical deliveries. We will not request or manage a separate delivery address for the Book as part of this promotion.

c) Non Qualifying Countries
If you purchase a Sale Bundle from a country that is not a Qualifying Country, you will still receive all applicable digital products, services, and discounted pricing that form part of the Bundle. However, you will not receive the complimentary Book, and no partial refund, credit, or price adjustment will be provided in lieu of the Book.

d) Limitations and Availability
The complimentary Book offer is subject to availability and is limited to one Book per eligible Sale Bundle order, unless explicitly stated otherwise. The Book is not transferable, exchangeable, or redeemable for cash, credit, or alternative products or services, except where we choose to offer a substitute at our sole discretion.

e) Shipping, Duties, and Delays
Shipping times for the Book may vary by region and are estimates only. Any local customs duties, taxes, or import charges applied by your country are your responsibility.
